Terms and Conditions of Service

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE ACCESSING OR USING THE RTK.IE SERVICE. This is a legally binding agreement between you (the Customer) and Sentrinav Ltd (trading as RTK.ie). By purchasing a Subscription or Credits package, creating an account, or accessing the Service in any way, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions in their entirety.


If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity, and references to "you" and "Customer" in these Terms shall refer to that entity.


If you do not agree with any part of these Terms, you must not access or use the Service.


1.  Definitions


In these Terms, the following words and expressions shall have the meanings set out below:


Access Period

The period during which the Customer is entitled to access the Service, being either the Subscription Period or the Credits Validity Period, as applicable.

Authorised User

Any individual or device authorised by the Customer to access the Service using Credentials issued under the Customer’s account.

Correction Data

The real-time GNSS network correction stream generated by the Network and delivered to the Customer via the NTRIP protocol, being the processed output of the Network.

Credentials

The NTRIP username and password issued by Sentrinav to the Customer upon activation of a Subscription or Credits package, used to authenticate access to the Service.

Credits

A time-based entitlement to access the Service, purchased as a defined number of hours, which is consumed as the Service is actively used and which expires on the Credits Expiry Date regardless of whether all hours have been consumed.

Credits Expiry Date

The date on which a Credits package expires, as confirmed to the Customer at the time of purchase and as set out in Clause 5.

Customer

The individual, company, or other legal entity that has purchased access to the Service and accepted these Terms.

Force Majeure Event

Any event beyond the reasonable control of Sentrinav, including but not limited to acts of God, lightning, flood, extreme weather, earthquake, fire, explosion, war, terrorism, civil disorder, governmental action, strikes or labour disputes, failure of third-party telecommunications infrastructure, satellite constellation outages, solar or ionospheric events, and acts of public enemy.

Network

The RTK.ie Continuously Operating Reference Station (CORS) network, comprising a network of independent GNSS reference stations operated by Sentrinav across the island of Ireland, together with associated processing infrastructure.

NTRIP

Networked Transport of RTCM via Internet Protocol, the industry-standard protocol used to deliver Correction Data to the Customer’s GNSS receiver.

Sentrinav

Sentrinav Ltd, a company incorporated in Ireland (trading as RTK.ie), with its registered office at Unit 17 Block Q, Grants Road, Greenogue Business Park, Rathcoole, Co. Dublin, D24 N252.

Service

The provision of real-time GNSS Correction Data by Sentrinav to the Customer via the Network, as further described in Clause 2.

Subscription

A time-limited, unlimited-access entitlement to the Service for a fixed period, as confirmed to the Customer at the time of purchase.

Subscription Period

The fixed duration of a Subscription, commencing on the date of activation and expiring at the end of the period purchased.

Terms

These Terms and Conditions of Service, as amended from time to time in accordance with Clause 14.

Website

The RTK.ie website at www.rtk.ie.


2.  The Service


2.1  Description

Sentrinav operates the Network across the island of Ireland and provides the Service to Customers via the NTRIP protocol over an internet connection. The Service delivers Correction Data to compatible GNSS receivers, enabling centimetre-level real-time positioning for professional surveying, construction, mapping, and related applications.


2.2  Coverage

The Service is designed to provide coverage across the island of Ireland. Coverage may vary by location due to local environmental conditions, topography, atmospheric interference, or the proximity and operational status of individual reference stations. Sentrinav does not guarantee continuous or uninterrupted coverage at any specific location.


2.3  Satellite Systems

The Service provides Correction Data for GPS, GLONASS, Galileo, and BeiDou satellite constellations. Sentrinav reserves the right to add, modify, or discontinue support for any satellite system or constellation at any time, subject to Clause 14.


2.4  Licence Grant

Subject to the Customer’s compliance with these Terms and payment of the applicable fees, Sentrinav grants the Customer a non-exclusive, non-transferable, revocable licence to access and use the Service during the Access Period solely for the Customer’s own professional positioning and surveying purposes.


3.  Access and Credentials


3.1  Issuance of Credentials

Upon activation of a Subscription or Credits package, Sentrinav will issue the Customer with Credentials. These Credentials are specific to the Customer’s account and are used to authenticate access to the Service via the NTRIP protocol.


3.2  Use of Credentials

The Customer may use the Credentials on any GNSS receiver or device for the Customer’s own use. The Customer may authorise personnel within their organisation to use the Credentials as Authorised Users. The Customer accepts sole responsibility for all use of the Service under their Credentials, whether by the Customer or any Authorised User.


3.3  Single Concurrent Connection

The Service supports one active NTRIP connection per set of Credentials at any one time. This is enforced at the infrastructure level. Attempts to establish simultaneous connections using the same Credentials will result in only one connection being maintained; the behaviour of any additional connection attempts is not guaranteed.


3.4  Confidentiality of Credentials

The Customer is responsible for maintaining the confidentiality of their Credentials. The Customer must not disclose Credentials to any third party outside their organisation, and must not share, sublicense, sell, resell, transfer, or otherwise make Credentials available to any third party for commercial gain or for use beyond the Customer’s own business operations.


3.5  Unauthorised Use

The Customer must notify Sentrinav immediately at info@rtk.ie upon becoming aware of any actual or suspected unauthorised use of their Credentials or account. Sentrinav shall not be liable for any loss or damage arising from unauthorised use of Credentials prior to such notification.


4.  Subscriptions


4.1  Nature of a Subscription

A Subscription provides the Customer with unlimited access to the Service for a fixed Subscription Period. The Subscription Period commences on the date of activation and expires at the end of the period purchased, as confirmed to the Customer by email upon activation.


4.2  No Automatic Renewal

Subscriptions do not renew automatically. Access to the Service will cease at the end of the Subscription Period unless the Customer purchases a new Subscription. It is the Customer’s responsibility to monitor the expiry of their Subscription and to renew in advance of expiry if continued access is required.


4.3  Expiry

Upon expiry of the Subscription Period, the Customer’s Credentials will be deactivated and access to the Service will cease. No refund or credit will be issued in respect of any unused portion of a Subscription.


4.4  Suspension

A suspension of the Service by Sentrinav in accordance with Clause 10 shall not extend the Subscription Period or entitle the Customer to any refund or credit, except where suspension is caused by Sentrinav’s discontinuation of the Service in accordance with Clause 10.4.


5.  Credits


5.1  Nature of Credits

Credits provide the Customer with a time-based entitlement to access the Service, measured in hours of active connection time. Credits are consumed only when the Customer is actively connected to the Service via the NTRIP protocol. Credits are additive; multiple Credits packages may be held concurrently on the same account.


5.2  Credits Expiry

All Credits packages carry a Credits Expiry Date. The Credits Expiry Date is specific to each Credits package purchased and is confirmed to the Customer at the time of purchase. Credits that have not been consumed by the Credits Expiry Date will expire automatically on that date and are forfeited without refund or credit.


5.3  Expiry Periods

The Credits Expiry Date applicable to each Credits package is confirmed to the Customer in the credentials email issued upon activation of the package. Expiry periods may vary between different Credits packages. It is the Customer’s responsibility to be aware of the Credits Expiry Date applicable to each package purchased.


5.4  No Rollover

Unused Credits do not roll over to a new Credits package, do not carry forward beyond the Credits Expiry Date, and cannot be transferred between accounts. Upon expiry, any remaining Credits balance is permanently forfeited.


5.5  No Automatic Renewal

Credits packages do not renew automatically. It is the Customer’s responsibility to monitor their Credits balance and expiry date and to purchase additional Credits as required.


6.  Fees and Payment


6.1  Fees

Fees for Subscriptions and Credits packages are as published on the Website at the time of purchase. All fees are stated exclusive of VAT and any other applicable taxes, levies, or duties, which shall be payable by the Customer in addition to the stated fee at the rate applicable at the time of purchase.


6.2  Payment

Payment is due in full at the time of purchase. Access to the Service will be activated upon receipt of cleared payment. Sentrinav reserves the right to withhold or suspend access pending receipt of payment.


6.3  Price Changes

Sentrinav reserves the right to amend its fees at any time. Any change in fees will be published on the Website and will not affect Subscriptions or Credits packages already purchased. Customers will be notified of fee changes in accordance with Clause 14 where such changes are material.


6.4  Refund Policy

Sentrinav’s refund and cancellation policy is set out in a separate Refund and Payment Policy document, available on the Website. The Refund and Payment Policy forms part of the agreement between Sentrinav and the Customer and should be read alongside these Terms.


7.  Acceptable Use


7.1  Permitted Use

The Customer is permitted to use the Service for their own lawful professional positioning and surveying purposes, including but not limited to land surveying, topographic and cadastral survey, construction positioning, engineering survey, precision agriculture, and infrastructure monitoring.


7.2  Prohibited Use

The Customer must not use the Service in any of the following ways:

  • Resell, sublicense, rebrand, rebroadcast, redistribute, or otherwise make the Service or Correction Data available to any third party for commercial gain;

  • Use the Service to create, operate, or contribute data to any competing GNSS correction service or network;

  • Transmit, stream, or relay Correction Data to multiple end-users or devices simultaneously, whether for commercial or non-commercial purposes;

  • Access the Service using automated scripts, bots, or any method that imposes an unreasonable or disproportionate load on the Network infrastructure;

  • Tamper with, intercept, or reverse-engineer the Correction Data stream or any component of the Network or Service;

  • Use the Service in any manner that violates any applicable law, regulation, or third-party right;

  • Use the Service fraudulently or with stolen, cloned, or misappropriated credentials.


7.3  Permitted Use of Correction Data in Professional Workflows

For the avoidance of doubt, the following uses of Correction Data are expressly permitted under these Terms:

  • Logging Correction Data received during a survey session for the purpose of quality assurance, audit, or post-processing verification;

  • Incorporating Correction Data or derived positional outputs into survey deliverables, reports, drawings, or project files shared with the Customer’s clients;

  • Using Correction Data within standard GNSS survey data collection and office processing workflows, including the exchange of project files between field and office software.


7.4  Compliance with Laws

The Customer is solely responsible for ensuring that their use of the Service complies with all applicable laws, regulations, codes of practice, and professional standards in the jurisdiction in which the Service is used. Sentrinav makes no representation that the Service is appropriate or lawful for use in any particular jurisdiction outside the island of Ireland.


8.  Customer’s Professional Responsibility


8.1  Independent Verification

The Customer is solely responsible for independently verifying the accuracy and suitability of all Correction Data and derived positional outputs before using them in any application where error could result in loss, damage, or injury. The Service provides positional information only. Sentrinav does not provide survey, engineering, or professional advice of any kind.


8.2  Professional Competence

The Customer represents and warrants that it is professionally competent in the use of GNSS equipment and correction services of the type provided by RTK.ie, and that it will apply appropriate professional judgement in assessing the accuracy, reliability, and suitability of any data derived from the Service for the Customer’s intended application.


8.3  Safety-Critical Applications

The Service is not intended for and must not be used in any safety-critical application. Safety-critical applications include, without limitation, any application where a failure of, or error in, positioning data could directly cause or contribute to death, personal injury, or significant damage to property or the environment, including but not limited to: the navigation or control of autonomous or semi-autonomous vehicles or vessels; aircraft navigation or guidance; emergency response positioning systems; and the control of unmanned aerial vehicles (drones) in any context where failure could endanger persons or property.


8.4  GNSS Receiver and Equipment

The Customer is solely responsible for the selection, maintenance, and operation of any GNSS receiver or other equipment used to access the Service. Sentrinav accepts no responsibility for the performance, accuracy, or compatibility of the Customer’s equipment.


8.5  Internet Connectivity

Access to the Service requires the Customer to have a suitable internet connection. The Customer is solely responsible for procuring and maintaining internet connectivity, and for any costs associated with data transmission. Sentrinav accepts no responsibility for the availability, quality, or cost of the Customer’s internet connection.


9.  Service Availability


9.1  Best Efforts

Sentrinav will use commercially reasonable efforts to maintain the Network in operational condition and to provide the Service on a continuous basis. However, the Service is provided on a best-efforts basis only. Sentrinav does not guarantee any minimum level of uptime, availability, accuracy, or continuity of the Service.


9.2  Planned Maintenance

Sentrinav may interrupt the Service for the purposes of planned maintenance, upgrades, or improvements to the Network. Where practicable, Sentrinav will provide advance notice of planned maintenance via the Website or by email. Planned maintenance periods shall not constitute a breach of these Terms.


9.3  Unplanned Interruptions

The Customer acknowledges that the Service may be interrupted, degraded, or made unavailable without notice due to factors including but not limited to: individual reference station outages; third-party telecommunications or internet infrastructure failures; atmospheric and ionospheric conditions; radio frequency interference, including GNSS jamming or spoofing events; power failures; and other factors beyond Sentrinav’s reasonable control.


9.4  No Liability for Interruptions

Sentrinav accepts no liability for any loss, damage, cost, or expense suffered by the Customer as a result of any interruption, degradation, or unavailability of the Service, whether planned or unplanned, except to the extent expressly provided in Clause 10.4. Interruptions to the Service shall not entitle the Customer to any refund, credit, or extension of the Access Period.


9.5  Accuracy Disclaimer

Sentrinav accepts no liability for the unavailability, inaccuracy, or incompleteness of Correction Data for any reason whatsoever. The Customer acknowledges that GNSS positioning accuracy is inherently dependent on factors outside Sentrinav’s control, including satellite geometry, atmospheric conditions, multipath effects, and the performance of the Customer’s equipment.


10.  Suspension and Termination


10.1  Suspension by Sentrinav for Misuse

Sentrinav reserves the right to immediately suspend or terminate the Customer’s access to the Service, without notice and without liability, in the event of:

  • Any actual or suspected breach of these Terms, including but not limited to prohibited use under Clause 7.2;

  • Any use of the Service that Sentrinav reasonably believes is fraudulent, unlawful, or harmful to the Network, the Service, or other customers;

  • Any attempt to circumvent the single concurrent connection limitation or to share Credentials in breach of Clause 3.4;

  • Any activity that imposes an unreasonable or disproportionate load on the Network infrastructure.


10.2  Effect of Suspension or Termination for Misuse

Where Sentrinav suspends or terminates the Customer’s access for misuse or breach of these Terms, no refund or credit shall be due to the Customer in respect of any unused Subscription Period or unexpired Credits. Sentrinav reserves the right to pursue any additional remedies available at law.


10.3  Termination by Customer

The Customer may cease using the Service at any time. Termination by the Customer does not entitle the Customer to any refund of fees paid, in accordance with Sentrinav’s Refund and Payment Policy.


10.4  Discontinuation of the Service by Sentrinav

In the event that Sentrinav permanently discontinues the Service in whole, Sentrinav will provide not less than thirty (30) days’ written notice to the Customer. In such circumstances, Sentrinav will refund to the Customer the pro-rata value of any unused Subscription Period or unexpired Credits remaining at the date of discontinuation. For the avoidance of doubt, this clause applies only to permanent discontinuation of the Service and not to planned or unplanned interruptions as described in Clause 9.


10.5  Survival

The following clauses shall survive the termination or expiry of these Terms for any reason: Clause 1 (Definitions), Clause 8 (Customer’s Professional Responsibility), Clause 11 (Intellectual Property), Clause 12 (Limitation of Liability), Clause 15 (Governing Law), and Clause 16 (General).


11.  Intellectual Property


11.1  Ownership of the Network and Correction Data

The Network, including all physical infrastructure, station hardware, and associated systems, is the property of Sentrinav. The Correction Data generated by the Network is the proprietary output of Sentrinav’s infrastructure and processing systems. All intellectual property rights in and to the Network and the Correction Data are and shall remain the exclusive property of Sentrinav or its licensors.


11.2  Customer Licence

The licence granted to the Customer under Clause 2.4 permits the Customer to receive and use Correction Data solely for the purposes set out in Clause 7.1. The Customer acquires no ownership rights in the Correction Data or any component of the Network or Service by virtue of these Terms or any use of the Service.


11.3  Restrictions

The Customer must not, without the prior written consent of Sentrinav:

  • Copy, reproduce, distribute, transmit, rebroadcast, or make available the Correction Data to any third party outside the Customer’s own organisation;

  • Use the Correction Data to develop, operate, or contribute to any GNSS correction service, network, or product that competes with the Service;

  • Remove, alter, or obscure any proprietary notices or identifiers associated with the Service or Correction Data.


11.4  Permitted Use of Derived Data

For the avoidance of doubt, and notwithstanding Clause 11.3, the Customer is expressly permitted to:

  • Log, archive, and analyse Correction Data received during the Customer’s own survey sessions for quality assurance, audit, and post-processing verification purposes;

  • Incorporate positional outputs derived from the Correction Data into survey deliverables, reports, drawings, designs, models, or project files and share such deliverables with the Customer’s clients in the normal course of the Customer’s professional business;

  • Exchange project files containing derived positional data between field data collection software and office processing software as part of standard GNSS survey workflows.


11.5  Aggregated Usage Data

Sentrinav may collect, analyse, and use aggregated and anonymised data relating to the use of the Network and the Service, including connection statistics, usage patterns, and network performance metrics, for the purposes of operating, monitoring, improving, and reporting on the Service. Such data will not identify individual Customers. The collection and use of personal data is governed by Sentrinav’s Privacy Policy, available on the Website.


11.6  RTK.ie Trade Marks

The RTK.ie name, logo, and associated trade marks are the property of Sentrinav. No right or licence to use any Sentrinav trade mark is granted by these Terms.


12.  Limitation of Liability


12.1  Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. To the fullest extent permitted by applicable law, Sentrinav disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including without limitation any implied warranty of merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement.


12.2  Exclusion of Consequential Loss

To the fullest extent permitted by applicable law, Sentrinav shall not be liable to the Customer for any indirect, special, incidental, consequential, or punitive damages of any kind, including but not limited to loss of profits, loss of revenue, loss of business, loss of data, loss of goodwill, wasted expenditure, cost of substitute services, or any loss arising from the Customer’s reliance on the Service for any professional, commercial, or operational purpose, even if Sentrinav has been advised of the possibility of such damages.


12.3  Liability Cap

In all events, Sentrinav’s total aggregate liability to the Customer under or in connection with these Terms, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total amount paid by the Customer to Sentrinav for the specific Subscription or Credits package in respect of which the claim arises during the twelve (12) months immediately preceding the event giving rise to the claim.


12.4  Statutory Rights

Nothing in these Terms shall limit or exclude Sentrinav’s liability for death or personal injury caused by Sentrinav’s negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable Irish law.


12.5  Customer’s Responsibility for Equipment

Sentrinav accepts no liability for any loss or damage to the Customer’s GNSS receiver, data controller, or any other equipment used in connection with the Service, from any cause whatsoever. The Customer bears all risk in relation to equipment used to access the Service.


12.6  Indemnity

The Customer shall indemnify and hold harmless Sentrinav, its directors, employees, agents, and licensors from and against any claims, losses, damages, costs (including reasonable legal fees), and liabilities arising out of or in connection with: (a) the Customer’s use or misuse of the Service; (b) any breach of these Terms by the Customer or any Authorised User; (c) any third-party claim arising from the Customer’s use of Correction Data or derived positional outputs; or (d) any negligent or wrongful act or omission of the Customer or any Authorised User in connection with the Service.


13.  Force Majeure


13.1  Exclusion of Liability

Sentrinav shall not be liable to the Customer for any failure to perform, or delay in the performance of, any obligation under these Terms to the extent that such failure or delay is caused by or results from a Force Majeure Event.


13.2  Notification

Where a Force Majeure Event occurs that affects the provision of the Service, Sentrinav will use reasonable endeavours to notify Customers via the Website or by email as soon as practicable and to provide an estimated timeframe for restoration of the Service where this is known.


13.3  Extended Force Majeure

If a Force Majeure Event prevents Sentrinav from providing the Service for a continuous period exceeding ninety (90) days, either party may terminate the agreement by written notice. In the event of such termination, Sentrinav will refund to the Customer the pro-rata value of any unused Subscription Period or unexpired Credits remaining at the date of termination.


14.  Amendments to these Terms


14.1  Right to Amend

Sentrinav reserves the right to amend these Terms at any time. Amendments may be made to reflect changes in the Service, changes in applicable law, or for any other reason at Sentrinav’s discretion.


14.2  Notice of Material Changes

Sentrinav will provide not less than thirty (30) days’ advance notice of any material change to these Terms. Notice will be given by email to the address associated with the Customer’s account and/or by publication on the Website. It is the Customer’s responsibility to maintain an accurate and current email address on their account.


14.3  Acceptance of Changes

Continued use of the Service after the effective date of any amendment to these Terms shall constitute the Customer’s acceptance of the amended Terms. If the Customer does not wish to accept the amended Terms, the Customer must cease using the Service before the effective date of the change. No refund shall be due in such circumstances unless the change materially reduces the Service being provided during a paid Access Period, in which case Clause 10.4 shall apply by analogy.


14.4  Minor Changes

Sentrinav may make minor or administrative changes to these Terms at any time without advance notice, provided that such changes do not materially affect the Customer’s rights or obligations. All changes will be reflected in the version published on the Website, which will carry an updated “Last Revised” date.


15.  Governing Law and Jurisdiction


15.1  Governing Law

These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Republic of Ireland.


15.2  Jurisdiction

The courts of the Republic of Ireland shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms. By accepting these Terms, the Customer irrevocably submits to the exclusive jurisdiction of the courts of the Republic of Ireland for such purposes.


15.3  Northern Ireland Customers

Customers accessing the Service from Northern Ireland acknowledge that, by purchasing the Service and accepting these Terms, they agree to the application of Irish law and the exclusive jurisdiction of the Irish courts as set out in this Clause 15. Customers who do not wish to be bound by Irish law and jurisdiction should not purchase or use the Service.


16.  General


16.1  Entire Agreement

These Terms, together with Sentrinav’s Refund and Payment Policy and Privacy Policy (each as published on the Website), constitute the entire agreement between Sentrinav and the Customer with respect to the Service and supersede all prior agreements, representations, and understandings between the parties relating to the subject matter hereof.


16.2  Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, unenforceable, or illegal, that provision shall be modified to the minimum extent necessary to make it enforceable, or if such modification is not possible, it shall be severed from these Terms. The remaining provisions of these Terms shall continue in full force and effect.


16.3  Waiver

No failure or delay by Sentrinav in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy. A waiver of any breach of these Terms shall not constitute a waiver of any subsequent breach.


16.4  Assignment

The Customer may not assign, transfer, or subcontract any of its rights or obligations under these Terms without the prior written consent of Sentrinav. Sentrinav may assign or transfer its rights and obligations under these Terms to any successor entity, including in the context of a merger, acquisition, or sale of all or substantially all of Sentrinav’s assets, without the Customer’s consent.


16.5  No Partnership or Agency

Nothing in these Terms shall create or be deemed to create a partnership, joint venture, employment, or agency relationship between Sentrinav and the Customer.


16.6  Notices

Notices to Sentrinav under these Terms should be sent by email to info@rtk.ie or by post to the registered address set out in the definition of Sentrinav in Clause 1. Sentrinav will send notices to the Customer at the email address associated with the Customer’s account.


16.7  Language

These Terms are written in the English language. In the event of any conflict between the English version and any translated version, the English version shall prevail.
